The Management Board of Black Pearl S.A. (hereinafter referred to as the “Issuer”, “Company”) with its registered office in Warsaw informs that on March 11, 2024, the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register, fully accepted the application to change the data in the National Court Register for the Issuer and made the following entries:
– entry regarding changes to the text of the Company’s statute in accordance with the adopted resolution,
– entry regarding the change in the composition of the Company’s Management Board in accordance with the adopted resolution (entering Mr. Chandra Sekar as Vice-President of the Management Board),
– entry regarding the change in the composition of the Company’s Supervisory Board in accordance with the adopted resolution (entry of Mr. Janusz Andrzej Skopowski),
– entry regarding the change of the proxy (entering Mr. Jatinder Kumar as the Proxy and deleting Mr. Jacek Andrzej Jakubowski from the position of the Proxy),
– entry regarding changes in the scope of the Company’s activities in accordance with the adopted resolution.
The Company’s Management Board informs that the above changes are part of activities preparing the Company to implement a new strategy of dynamic value growth by focusing the Company’s activities on new industries.

Zarząd Spółki Black Pearl S.A. (dalej “Emitent”, „Spółka”) z siedzibą w Warszawie informuje, iż w dniu 11 marca 2024 roku, Sąd Rejonowy dla m.st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego uwzględnił w pełni wniosek o zmianę danych w Krajowym Rejestrze Sądowym dla Emitenta i dokonał następujących wpisów:
– wpis dotyczący zmiany treści statutu Spółki zgodnie z podjętą uchwałą,
– wpis dotyczący zmiany składu Zarządu Spółki zgodnie w podjętą uchwałą (wpisanie Pana Chandry Sekara jako Wiceprezesa Zarządu),
– wpis dotyczący zmiany składu Rady Nadzorczej Spółki zgodnie w podjętą uchwałą (wpisanie Pana Janusza Andrzeja Skopowskiego),
– wpis dotyczący zmiany prokurenta (wpisanie Pana Jatindera Kumara jako Prokurenta oraz wykreślenie Pana Jacka Andrzeja Jakubowskiego z funkcji Prokurenta),
– wpis dotyczący zmian przedmiotu działalności Spółki zgodnie z podjętą uchwałą.
Zarząd Spółki informuje, iż powyższa zmiany są elementem działań przygotowujących Spółkę do wdrożenia nowej strategii dynamicznego wzrostu wartości poprzez koncentracje działań Spółki na nowych branżach.
